Setu Jewellers ERP is provided as a business software solution for jewellery, gold, and precious metal business management. Users agree to use the software only for lawful business purposes. You are responsible for:

• Maintaining accurate business data
• Keeping login credentials confidential
• Managing staff access carefully
• Ensuring that your use of the system complies with applicable laws and regulations

To use Setu Jewellers ERP, users may be required to create an account and provide accurate business and contact information. You agree not to provide false, misleading, or unauthorized information during registration or use of the software. Nepfinity Technologies reserves the right to verify, suspend, or reject accounts that violate these terms.

Setu Jewellers ERP may be offered on a monthly, yearly, or custom subscription basis. Subscription fees must be paid in advance unless otherwise agreed in writing. Failure to pay subscription fees on time may result in:

• Temporary account restriction
• Suspension of access
• Deactivation of premium features
• Termination of the account after repeated non-payment

Pricing, features, and plans may be updated from time to time.

Subscription fees are generally non-refundable unless clearly stated otherwise in a written agreement. In special cases, refund requests may be reviewed at the sole discretion of Nepfinity Technologies. Refund approval may depend on:

• Nature of the issue
• Duration of software usage
• Technical problem verification
• Service agreement terms
• Company policy at the time of request

Users agree not to:

• Use the system for illegal or fraudulent activities
• Enter false, misleading, or unlawful data
• Attempt to hack, copy, reverse-engineer, or disrupt the software
• Share unauthorized access with third parties
• Misuse customer, staff, or business data
• Upload harmful files, viruses, or malicious content
• Violate any applicable laws, rules, or regulations

Any violation may result in suspension or termination of access.

Users are responsible for the accuracy of all data entered into the system, including:

• Customer details
• Product details
• Gold rate
• Weight and purity
• VAT/PAN information
• Payment records
• Invoice details
• Khata and due records

Setu Jewellers ERP is not responsible for losses, incorrect billing, tax mistakes, inventory errors, or business disputes caused by incorrect data entry by the user or their staff.

We aim to provide reliable and stable service. However, Setu Jewellers ERP does not guarantee 100% uninterrupted availability. Service may be temporarily affected due to:

• Scheduled maintenance
• Server issues
• Internet problems
• Third-party service failures
• Security updates
• Technical errors
• Force majeure events

We will try to resolve technical issues as quickly as reasonably possible.

Setu Jewellers ERP may integrate with third-party services such as:

• Hosting providers
• SMS gateways
• Email services
• Payment gateways
• Analytics tools
• Cloud storage or backup systems

We are not responsible for downtime, errors, pricing changes, or data handling practices of third-party service providers.

All software design, source code, system architecture, branding, logo, UI/UX, features, documentation, and related materials of Setu Jewellers ERP are the intellectual property of Nepfinity Technologies unless otherwise stated. Users are not allowed to copy, sell, duplicate, modify, reverse-engineer, or commercially exploit the software without written permission.

To the maximum extent permitted by applicable law, Setu Jewellers ERP and Nepfinity Technologies shall not be liable for:

• Business losses
• Loss of profit
• Loss of customers
• Data loss caused by user negligence
• Incorrect entries made by users or staff
• External service failures
• Internet or device-related issues
• Unauthorized access caused by weak passwords or shared credentials
• Indirect, incidental, or consequential damages

The software is provided to support business operations, but final business decisions remain the responsibility of the user.

Nepfinity Technologies reserves the right to suspend or terminate any account if the user:

• Violates these Terms
• Fails to pay subscription fees
• Misuses the software
• Attempts unauthorized access
• Uses the platform for illegal purposes
• Causes harm to the system, company, or other users

Where applicable, we may provide prior notice before termination. However, immediate suspension may be applied in serious cases.

After account termination, closure, or subscription expiry, access to data may be limited or removed. Users should export important records before ending their subscription. Nepfinity Technologies may retain certain data for legal, tax, security, backup, or dispute-resolution purposes.

We may update these Terms of Service from time to time. Updates may be communicated through:

• App notifications
• Website notices
• Email notifications
• System alerts

Continued use of Setu Jewellers ERP after updates means you accept the revised terms.

This Terms of Service shall be governed by and interpreted in accordance with the laws of Nepal. Any disputes shall be handled under the applicable laws and jurisdiction of Nepal.
